Position: Business Attorney
Location: Alpine, Utah (Hybrid/On site/Remote)
Employment Type: Full-Time
Experience Level: Senior (5+ years of business law experience)
JOB SUMMARY
We are looking for distinguished litigation and transactional Business Attorneys to provide expert legal counsel in commercial litigation, contracts, corporate formations, corporate governance, mergers and acquisitions, employment, intellectual property, and compliance. The ideal candidates will have a strong background in business law, exceptional analytical and writing skills, impeccable integrity and professionalism, and a proven ability to reduce complexity to simplicity. A strong book of portable businss is required.
Key Responsibilities
- Lead commercial litigation cases through every phase, from start through trial.
- Draft litigation pleadings without oversight from other attorneys, in particular dispositive motions.
- Draft, review, and negotiate a variety of commercial contracts, including partnership agreements, vendor contracts, and licensing agreements.
- Advise on corporate governance, including entity formation, shareholder agreements, and board resolutions.
- Provide legal support for mergers, acquisitions, and other business transactions, including due diligence and deal structuring.
- Ensure compliance with federal, state, and local regulations, including labor laws, data privacy, and industry-specific requirements.
- Protect and manage non-compete agreements, intellectual property assets, including trademarks, copyrights, and trade secrets.
- Collaborate with internal teams and external stakeholders to mitigate legal risks and support client objectives.
- Represent clients as lead and co-counsel in negotiations, mediations, and litigation as needed.
- Develop clientele and compliment firm marketing through networking.
- Work with other Firm attorneys and staff on all of above as an effective team unit.
- Stay updated on changes in business law and provide proactive recommendations to leadership.
Qualifications
- Juris Doctor (JD) degree from an accredited law school.
- Active license to practice law in the State of Utah (or ability to obtain licensure withint first 90 days).
- Minimum of 5 years of experience in business law, preferably in a corporate law firm setting.
- Strong expertise in contract drafting, corporate transactions, and regulatory compliance.
- Excellent negotiation, communication, and interpersonal skills.
- Ability to work independently and manage multiple priorities observing the Firm's core values.
- Strong attention to detail and problem-solving skills.
- Experience with intellectual property and employment law is a plus.
Preferred Skills
- Deep knowledge within software and techology, finance, and healthcare fields.
- Proven track record of advising and scaling entreprenurial ventures.
- Familiarity with international business transactions and cross-border legal issues.
