Cozen O’Connor is seeking an Associate Attorney, NY, NY to advise clients on securities law compliance, including SEC reporting and disclosure requirements under the Securities Act of 1933 (’33 Act) and the Securities Exchange Act of 1934 (’34 Act); prepare and review registration statements, prospectuses, and other securities offering documents. The position requires a minimum of a Juris Doctor degree or foreign law degree combined with LLM degree or a related equivalent degree, and 3 years of experience in the job offered or related occupation, to include 3 years’ experience in capital markets and securities law; and 3 years’ experience drafting securities related legal documents, including, registration statements (and related disclosures), ’34 Act compliance reports, underwriting agreements, purchase agreements, indentures, closing papers and related securities compliance documentation, 3 years’ experience working with SEC regulations, including the ’33 Act and the ’34 Act; and 3 years’ experience advising clients on SEC reporting and disclosure requirements. Admission to the New York State Bar is required. Employer will accept any suitable combination of education, experience, and training. Experience may have been gained concurrently. The salary for this position is $153,254.
