The Associate General Counsel – Business Attorney plays a crucial role in providing legal guidance and support to the administrative and business operations of Morehouse School of Medicine and Morehouse Healthcare (individually and collectively “academic medical center”). The responsibilities of the Associate General Counsel-Business Attorney include supporting multiple business units by providing legal services as outlined below. The ideal candidate will possess a strong background in healthcare and business law, have exceptional analytical skills, and the ability to collaborate effectively with cross-functional teams. As well, the ideal candidate will be able to work independently and collaboratively.
Primary Responsibilities:
Contract Review and Negotiation:
- Assist business leaders with the review, draft, and negotiation of a variety of contracts, agreements, and transactions involving the academic medical center, including vendor agreements, partnerships, leases, and service contracts.
- Ensure contracts comply with institutional policy and legal standards.
- Identify potential legal risks and provide proactive guidance to mitigate risks in contracting to best protect the institution.
Regulatory Compliance:
- Stay up to date with relevant laws and regulations in the healthcare and academic sectors.
- Advise internal stakeholders on compliance matters related to healthcare regulations, privacy laws, research compliance, and other applicable regulations.
Risk Management:
- Provide support needed for Office of General Counsel to collaborate with operational teams to develop risk management strategies and policies.
Corporate Governance:
- Assist Senior Associate General Counsel with supporting the Corporate Secretary in the management of corporate governance matters, including board meetings, bylaws review, and the review of governance policies.
Strategic Legal Advice:
- Provide legal support needed for Office of General Counsel’s provision of guidance on complex legal issues impacting the academic medical center’s operations and growth.
Dispute Resolution:
- Assist in managing legal disputes, investigations, and potential litigation.
- Work closely with outside counsel, if necessary, to ensure effective resolution.
Training and Education:
- Support training sessions for staff on relevant transactional legal topics, compliance, and best practices for contract negotiation.
Collaboration and Communication:
- Communicate legal advice and recommendations in a clear and actionable manner to internal business units.
- Support collaboration with internal business units, to engage external partners and lead conversations with external counsel in order to achieve organizational goals.
Minimum Qualifications
- Juris Doctor (JD) degree from an accredited law school
- Active membership in good standing with Georgia State Bar Association
- Minimum of ten (10) years of legal experience, preferably with a focus on healthcare law, business law, or a related field.
- In-depth knowledge of healthcare regulations, compliance, and industry standards
- Strong analytical, problem-solving, and research skills.
- Excellent communication and interpersonal skills.
- Ability to work both independently and collaboratively in a team environment.
- Strong organizational skills and attention to detail
- Demonstrated ability to handle sensitive and confidential information with integrity.
Knowledge, Skills, and Abilities:
- Skilled legal professional with 10+ years of experience and a track record of success.
- Experience both in contract review and case management.
- Experience with dispute resolution.
- Expert in leading overall business operations by providing legal guidance to leadership responsible for developing strategic relationships and execution of institution wide goals.
- Experience motivating and leading a team.
- High degree of accuracy, good judgement, and decision-making.
- Demonstrated record of integrity and accountability.
- Demonstrated communication skills that include excellent organizational, people skills, and strong verbal, and written communication skills.
- Ability to work in a high-volume environment.
- Excellent time management skills and organizational abilities.
- Ability to manage sensitive and confidential matters appropriately.
- Advanced knowledge of Excel, PowerPoint, and other Microsoft Office programs.
- Familiarity with BoardEffect (Board Portal) and Agiloft (Contract Lifecycle Management System).
Preferred Qualifications
- Experience working in an academic medical center or healthcare institution.
- Background in corporate governance and transactional work.
- Prior experience in a legal or compliance role within an academic medical center or otherwise the healthcare industry.
- Prior experience in mergers and acquisitions.

Description of Job Duty
- Prepare responses to document requests such as subpoenas, discovery, requests including preparing search terms for electronic searches and reviewing documents for redaction.
- Assistant General Counsel in managing litigation and working with outside counsel representing the institution; assist with the identification and preparation of witnesses; prepare litigation updates for the General Counsel.
- Perform legal research and provide legal advice and counsel on a range of legal topics including higher education law, regulatory matters, and procurement.
- Draft and interpret university policies, standards and procedures, and review proposed legislative bills, resolutions, and amendments affecting the Morehouse School of Medicine, and performs additional duties as assigned.
