Key Responsibilities
Corporate Governance & Enterprise Legal Support
- Support corporate and board governance activities, including preparation and maintenance of corporate records, board materials, and related documentation
- Advise business leaders on legal risks, obligations, and practical solutions across enterprise initiatives
- Support privacy, data protection, information security, mergers and acquisitions, strategic transactions, and other corporate initiatives as assigned
- Manage outside counsel relationships and legal spend in partnership with the Chief Legal Officer
Commercial Contracting
- Draft, review, negotiate, and manage commercial agreements, including payor, vendor and supplier, business associate, supplier quality, confidentiality, independent contractor, technology, and software licensing agreements
- Advise stakeholders regarding contractual rights, obligations, risk allocation, disputes, and resolution strategies
- Develop and maintain contract templates, playbooks, and standards to improve consistency, speed, and legal risk management
Healthcare Regulatory, Compliance & Investigations
- Provide legal guidance on federal and state healthcare laws and regulations affecting the DME and medical device industry, including privacy, FDA, Medicare and Medicaid, Anti-Kickback, False Claims Act, and Stark requirements
- Partner with Compliance and Quality & Regulatory Affairs on audits, inspections, corrective actions, investigations, policy development, and response strategies
- Conduct or support internal investigations involving alleged misconduct, fraud, privacy concerns, policy violations, or regulatory compliance issues
- Monitor legal and regulatory developments and translate requirements into practical guidance for internal stakeholders
Marketing, Employment & Litigation Support
- Review promotional, advertising, educational, and marketing materials for legal and regulatory compliance, including claims substantiation and product representations
- Advise Human Resources and management on employment law matters including hiring, employee relations, investigations, performance management, wage and hour, leave and accommodation, discipline, and separations
- Manage litigation, claims, regulatory inquiries, subpoenas, discovery, preservation matters, settlement negotiations, and coordination with outside counsel
Intellectual Property & Special Matters
- Support the company’s intellectual property portfolio, including trademarks, copyrights, patents, registrations, maintenance, enforcement, and commercialization considerations
- Perform additional legal duties, strategic initiatives, and special projects as assigned by the Chief Legal Officer
Qualifications
- Juris Doctor (J.D.) degree from an accredited law school and active membership in good standing with at least one state bar
- Minimum 8 years of legal experience, including at least 5 years of in-house counsel experience within healthcare, medical device, DME, life sciences, or another highly regulated organization
- Demonstrated experience drafting, reviewing, and negotiating complex commercial agreements
- Strong knowledge of healthcare regulatory and compliance frameworks, including HIPAA and privacy laws, FDA regulations, Medicare and Medicaid reimbursement requirements, Anti-Kickback Statute, False Claims Act, Stark Law, and corporate compliance programs
- Experience managing litigation and outside counsel; experience supporting quality/regulatory functions, intellectual property, and mergers or strategic transactions preferred
- Excellent written, verbal, analytical, interpersonal, and executive communication skills
- Proven ability to independently manage multiple priorities, exercise sound legal judgment, influence without direct authority, and maintain confidentiality in a fast-paced environment
