Job description

This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a VP - Managing General Counsel, Corporate, Debt and Equity based in the United States.

This is a senior in-house legal leadership role serving as a strategic advisor on corporate, transactional, debt, equity, and governance matters.

The position will shape legal strategy for a rapidly growing healthcare organization and support complex business transactions.

You will lead corporate legal teams while partnering closely with executives, business leaders, compliance professionals, and external counsel.

The role has significant responsibility across mergers and acquisitions, liquidity transactions, entity structures, governance, equity matters, and securities compliance.

Success requires combining sophisticated legal judgment with practical business thinking and an ability to navigate complex, high-impact decisions.

You will also contribute to legal team development, operational improvements, playbooks, training, and a collaborative team culture.

This is a remote opportunity with up to 25% travel, with Nashville, Tennessee preferred.

Accountabilities

  • Serve as lead corporate legal counsel and strategic business partner on corporate structure, entity management, board governance, mergers and acquisitions, debt, equity, and strategic liquidity transactions.
  • Lead and oversee corporate attorneys and paralegals while collaborating with compliance teams and business stakeholders to identify, assess, and resolve complex legal matters.
  • Advise senior leadership and business teams on federal and state corporate laws, securities regulations, governance requirements, and other relevant legal obligations.
  • Draft, review, negotiate, and oversee corporate agreements, transaction documents, filings, equity documentation, and other legal materials.
  • Lead legal support for major corporate transactions, including complex M&A and equity-related activities, while ensuring appropriate risk management and governance.
  • Oversee the drafting, negotiation, and issuance of equity grants and provide legal guidance on related corporate and tax matters.
  • Coordinate strategically with external legal counsel and manage outside resources as appropriate.
  • Advise on corporate policies, procedures, and governance practices while helping continuously improve the legal function through playbooks, training, and standardized processes.
  • Partner with leadership and legal colleagues to strengthen collaboration, morale, productivity, and retention across the department.
  • Provide day-to-day leadership and performance management for direct reports, including coaching, career development, counseling, and performance-related actions.
  • Promote a culture of communication, cooperation, accountability, and practical business-oriented legal advice.
  • Requirements

    • J.D. degree from an ABA-accredited law school.
    • Active license to practice law and membership in good standing with a state bar association.
    • At least 8 years of corporate and transactional legal experience, with significant exposure to large-scale M&A and IPO transactions in private practice, in-house environments, or both.
    • Demonstrated experience advising businesses on complex corporate transactions, governance, entity structures, equity, securities, and related legal matters.
    • Healthcare industry experience is strongly preferred, particularly experience supporting large or multi-site healthcare provider organizations.
    • Experience handling sophisticated M&A and IPO matters across both law firm and in-house settings is highly valued.
    • Strong strategic thinking and sound legal judgment, with the ability to translate complex legal considerations into practical business recommendations.
    • Excellent written and verbal communication skills, including the ability to advise senior executives and influence business decisions.
    • Strong organizational skills, attention to detail, and the ability to manage multiple high-priority matters simultaneously.
    • Demonstrated ability to work effectively with confidential and sensitive information.
    • Strong interpersonal and relationship-management skills, with the ability to collaborate across legal, compliance, business, and executive teams.
    • Proven people leadership experience, including coaching, development, performance management, and team-building.
    • Proficiency with Microsoft Word, PowerPoint, Outlook, and Excel.
    • Willingness and ability to travel up to approximately 25%.
